Chitra Ramkrishna was the managing director and CEO of the National Stock Exchange (NSE) between 2013 and 2016 and quit citing “personal reasons”.

She shared information including the bourse’s financial projections, business plans and board agenda with the spiritual guru living in the Himalayas, the Securities and Exchange Board of India (SEBI) said in an order.

The market regulator called it “bizarre misconduct” and a “glaring breach” of regulations. “The sharing of financial and business plans of NSE … is a glaring, if not unimaginable, act that could shake the very foundations of the stock exchange,” SEBI said in its order, imposing penalties on Ms Ramkrishna, NSE and other top former executives for the lapses.

The guru was running the exchange, and Ms Ramkrishna was “merely a puppet in his hands”, SEBI said.

The decisions that Ms Ramkrishna took under the influence of the yogi included the appointment of a mid-level executive without any capital market experience, as an adviser and NSE’s operating officer. Ms Ramkrishna is accused of giving “frequent, arbitrary and disproportionate” increase in compensation to Anand Subramanian without any evidence of a performance evaluation

Chitra Ramkrishna Career

Chitra Ramkrishna started out as being a chartered accountant and one of her first encounters with finance was in the year 1985. Chitra joined the project finance division at the Industrial Development Bank of India, IDBI.

She then had a stint at the Securities and Exchange Board of India, SEBI, and returned to the IDBI Bank after two years. Ramkrishna soon founded herself as one of the five handpicked people by the late SS Nadkarni, who was then IDBI Bank’s chairman who set up the NSE from scratch

Ramkrishna was part of the team created to set up the NSE to provide a fully automated, screen-based trading system.

She has been associated with matters pertaining to market regulation and policy making even before the NSE was set up. In the late 1980s, Ramkrishna was involved in the drafting of the legislative framework of the Securities and Exchange Board of India (SEBI), the country’s capital market regulator. She continues to be a part of several SEBI committees on different policy issues such as the Secondary Market Advisory Committee and the Committee on Disclosures and Accounting Standards.

Chitra set up a pan-India VSAT network and building the infrastructure and legislative framework for India’s first depositor.

Chitra has been asked by SEBI to disgorge 25 percent of the salary drawn for FY 2013-14, to the IPEF. The regulator has also found Chitra Ramkrishna guilty in the case.
